FirstPass Tax - Terms of Service

1. The Service

FirstPass Tax provides a software-as-a-service (SaaS) platform that uses artificial intelligence to assist professionals in the preliminary review of professional documents ("the Analysis"). You acknowledge that the Service is an assistive tool and you are solely responsible for the final work product, as outlined in our Disclaimer.

2. User Accounts

You must be a human and at least 18 years of age to create an account. You are responsible for maintaining the security of your account and password and for any activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Subscriptions & Payment

• Free Trial: We may offer a free trial of our Service. After the trial period, you must purchase a subscription to continue using the Service's premium features.
• Subscription Plans: The Service is offered on a subscription basis ("Subscription"). You will be billed in advance on a recurring, periodic basis (e.g., monthly or annually).
• Pay-Per-Use: We may offer the ability to purchase a set number of Analysis reports ("Credits"). Credits are non-refundable and expire as outlined at the time of purchase.
• Cancellation: You may cancel your Subscription at any time through your account settings. The cancellation will take effect at the end of the current billing cycle, and you will not be charged for the next cycle.

4. User Responsibilities & Prohibited Activities

You agree not to misuse the Service. You will not, and will not permit others to:

• Attempt to reverse-engineer, decompile, or discover the source code of the Service.
• Use the Service for any illegal, fraudulent, or unauthorized purpose.
• Resell, sublicense, or repackage the output of the Service without our express written permission.
• Upload any documents that you do not have the legal right to use and analyze, or that contain viruses or other malicious code.

5. Intellectual Property

• Our Property: Internet Management Services Inc. owns all right, title, and interest in and to the Service, including the AI models, software, and the FirstPass Tax and AI Advisory Group brands.
• Your Property: You retain all ownership rights to the documents you upload ("Your Content"). We claim no ownership over Your Content. You grant us a limited, non-exclusive license to use Your Content solely for the purpose of providing the Service to you.

6. Limitation of Liability

To the maximum extent permitted by law, Internet Management Services Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the Service. Our total liability to you for any and all claims arising from the Service is limited to the amount you paid us for the Service in the 12 months preceding the claim.

7. Governing Law

These Terms shall be governed by the laws of the [Governing Law Jurisdiction, e.g., State of Delaware], without regard to its conflict of law provisions.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes by posting the new Terms on the site and/or sending you an email. Continued use of the Service after such changes constitutes your consent to the new Terms.
